Faraday Future registers up to 62M shares for resale

Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) has filed a prospectus to register for resale up to approximately 62 million shares of Class A common stock on behalf of selling stockholders.
The registration covers four categories of shares. The largest portion consists of up to 60,000,000 shares issuable upon conversion of senior convertible notes issued to institutional investors under a securities purchase agreement dated May 15, 2026. An additional 500,000 shares were issued to an investor under a separate securities purchase agreement dated February 4, 2026, later amended on April 14, 2026.
The remaining shares relate to vendor settlements. Faraday Future issued 954,545 shares to Costamp S.r.l., an Italian corporation, in settlement of amounts owed under an agreement dated December 15, 2025. Another 551,724 shares were issued to a designee of Nemat, Inc., a California corporation, under a settlement agreement dated April 21, 2026.
The company stated it will not receive any proceeds from the sale of shares by the selling stockholders. The registration does not obligate the selling stockholders to offer or sell any of the shares covered by the prospectus.
