(Nasdaq: GOVX), a clinical-stage biotechnology company developing immunotherapies and vaccines against cancer and infectious diseases, today announced that it has entered into a definitive securities purchase agreement with a certain institutional investor for the purchase and sale of 975,610 shares of the Companys common stock (or common stock equivalents) at a price of $5.125 per share in a registered direct offering priced at-the-market under Nasdaq rules.
