On August 7, 2017, Vantiv, Inc. (the Company) entered into a transaction agreement with Fifth Third Bank (the Purchase Agreement) pursuant to which Fifth Third Bank has agreed to exercise its right to exchange 19,790,000 Class B Units in Vantiv Holding, LLC (Holding) for 19,790,000 shares of the Companys Class A common stock and immediately thereafter, the Company will purchase those newly issued shares of Class A common stock (the Share Purchase) directly from Fifth Third Bank at a price of $64.04 per share, the closing share price of the Companys...
