Explanation of Responses:
1. EdgePoint Investment Group Inc. ("EdgePoint") acts as investment manager to, and exercises investment discretion with respect to, the Issuer's Common Stock directly owned by a number of mutual fund trusts and separately managed accounts (the "EdgePoint Funds").
2. In accordance with Instruction 5(b)(iv) to Form 3, the entire amount of the Issuer's Common Stock held by the EdgePoint Funds is reported herein. For purposes of Section 16 of the Securities Exchange Act of 1934, as amended ("Section 16"), EdgePoint disclaims beneficial ownership of any such securities, except to the extent of its pecuniary interest therein, if any, and this report shall not be an admission that EdgePoint is the beneficial owner of any such securities for purposes of Section 16 or otherwise.
Remarks:
Pursuant to the Cooperation Agreement, dated as of October 21, 2026, between EdgePoint and the Issuer, the Issuer has appointed Lee Matheson, a Partner at EdgePoint, to the Board of Directors of the Issuer. Accordingly, solely for purposes of Section 16, EdgePoint may be deemed a "director by deputization" of the Issuer; the filing of this Form 3 shall not be deemed an admission of such status for purposes of Section 16 or otherwise.
