INVE Technologies, Inc. (NASDAQ: INVE) has commenced a modified Dutch auction self-tender offer to repurchase up to $20 million of its common stock, with a price range of $2.85 to $3.40 per share. The offer began Oct. 21, 2026, and is set to expire at 5:00 p.m. New York time on Nov. 19, 2026, unless extended or terminated.
The closing price of INVE Technologies shares on Nasdaq was $2.22 on Oct. 20, 2026. The tender offer is part of a previously authorized $40 million share repurchase program.
The company said it will fund the repurchase using cash on hand. The offer is not conditioned on financing or a minimum number of shares tendered. INVE Technologies reserves the right to purchase up to an additional 2% of outstanding shares above the $20 million threshold without extending the offer period.
Craig-Hallum Capital Group LLC is serving as the exclusive dealer manager. D.F. King & Co., Inc. is the information agent, and Equiniti Trust Company, LLC is the depositary. The company's directors and executive officers have indicated they do not plan to tender their shares.
