Doug Bergeron, a shareholder holding approximately 5.2% of Ethan Allen Interiors Inc. (NYSE: ETD) common stock, issued a statement criticizing the company's decision to release its fiscal first quarter 2027 results on November 9, 2026, five days after its 2026 Annual Meeting of Stockholders scheduled for November 4, 2026.
Bergeron, who is engaged in a proxy contest against Ethan Allen's board, said the timing breaks with more than two decades of practice in which the company reported first quarter results before its annual meeting. He noted that Ethan Allen followed that schedule even during a 2015 proxy contest, and that for the past five years the company has consistently released first quarter results on the last Wednesday of October.
"The Board's decision to abandon these practices now is all the more concerning and appears to be a deliberate attempt to manipulate the information available to shareholders as they cast their votes," Bergeron said in the statement.
Bergeron's statement also said the move "raises the obvious question: what does the Board not want shareholders to see?" and that withholding financial results until after the director election "deepens concerns about the Board's commitment to transparency and accountability."
DGB Investment, Inc. and Douglas G. Bergeron have filed a definitive proxy statement with the Securities and Exchange Commission to solicit proxies for the election of their slate of director candidates at the 2026 annual meeting.
