Ethan Allen Interiors Inc. (NYSE: ETD) filed an investor presentation with the Securities and Exchange Commission ahead of its 2026 Annual Meeting of Stockholders, according to a company statement. The presentation challenges financial projections put forward by activist investor DGB while outlining the company's own growth strategy.
Ethan Allen said DGB's projections translate selected financial and industry data into revenue and profitability targets without substantiating how those results would be achieved within the company's vertically integrated operating model. Specifically, the company said DGB does not adequately address assumptions related to customer acquisition, store productivity, pricing, inventory, working capital, and implementation costs across trade, e-commerce, and new design center channels.
The company said changes to pricing, product, inventory, digital channels, and retail footprint must be evaluated alongside their effects on manufacturing, designer productivity, logistics, capital requirements, and profitability.
Ethan Allen's presentation also highlights what it described as measurable progress on key selling indicators and points to a debt-free balance sheet as evidence of financial stability. The company is urging shareholders to vote in favor of its five director nominees, who it says bring experience relevant to CEO succession planning and continued strategy execution.
Ethan Allen manufactures approximately 75% of its custom furniture in North American facilities and operates a network of company-owned and independent licensee design centers.
