CCC Intelligent Solutions to go private in $6.1B deal

October 15, 2026 8:01 AM EDT

CCC Intelligent Solutions Holdings Inc. (NASDAQ: CCC) has agreed to be acquired by a consortium led by GTCR and Elliott Investment Management L.P. in an all-cash transaction valued at approximately $6.1 billion, according to a press release from the Chicago-based company.

Under the terms of the agreement, CCC stockholders will receive $7.75 per share in cash. That price represents a premium of approximately 44% to CCC's closing stock price on July 9, 2026, the last trading day before media reports surfaced regarding a potential sale, and a premium of approximately 59% to the 30-day average price as of that date.

The transaction was approved by CCC's Board of Directors and is expected to close in the first quarter of 2027, subject to regulatory approvals and CCC stockholder approval. The deal is not subject to a financing condition. Upon closing, CCC will become a privately held company and its shares will be delisted from the Nasdaq.

CCC Chairman and CEO Githesh Ramamurthy said the announcement follows a review of strategic options conducted with the assistance of financial and legal advisors.

Morgan Stanley is serving as financial advisor to CCC, with Kirkland & Ellis LLP acting as legal counsel. J.P. Morgan is acting as lead financial advisor to GTCR and lead arranger of committed financing, with Citi also serving as financial advisor. Simpson Thacher & Bartlett LLP is legal counsel to GTCR, while Gibson, Dunn & Crutcher LLP and Debevoise & Plimpton LLP are advising Elliott.

CCC connects more than 35,000 businesses across the insurance and automotive repair sector. The company is scheduled to release its third-quarter 2026 financial results on October 29, 2026, though it will not host a conference call given the pending transaction.
