Gibraltar Industries, Inc. (Nasdaq: ROCK) has agreed to sell its infrastructure business, D.S. Brown, to Saint-Gobain for $208 million in cash, subject to customary post-closing adjustments, according to a company press release.
The transaction is expected to close in the fourth quarter of 2026, pending regulatory approvals and other customary closing conditions. Gibraltar said proceeds from the sale will be used to reduce debt.
Chairman and CEO Bill Bosway said the deal is part of an ongoing effort to simplify the company's portfolio. "This sale is another step in the simplification of our portfolio, sharpening our strategic focus and resource allocation on the building products and structures end-markets to drive greater value and returns for our stockholders," Bosway stated.
Bosway added that the company expects the transaction to be "highly tax efficient," with gross proceeds directed toward accelerating debt reduction ahead of 2027.
Gibraltar said it will update its 2026 financial outlook in connection with its third-quarter 2026 earnings report, the timing of which will be announced separately.
Moelis & Company LLC is serving as Gibraltar's financial advisor on the transaction, and Polsinelli is serving as its legal counsel.
