LandBridge converts from Delaware LLC to Texas corporation

October 13, 2026 4:51 PM EDT

LandBridge Corporation (NYSE: LB; NYSE Texas: LB) has completed its conversion and redomestication from a Delaware limited liability company to a Texas corporation, according to a company statement.

The conversion was approved by LandBridge's board of directors, following a recommendation from a special committee of independent directors, and by the holder of a majority of shares representing limited liability company interests in the company.

As of the open of business on October 14, 2026, the New York Stock Exchange and NYSE Texas ceased trading of the company's Class A shares and commenced trading of Class A common stock under the existing ticker symbol "LB." Each previously outstanding Class A and Class B share converted on a one-for-one basis into Class A and Class B common stock, respectively, each with a par value of $0.001 per share.

The company said the conversion did not result in any change to its ticker symbol, CUSIP number, business, management, properties, number of employees, obligations, assets, liabilities, or net worth, aside from costs related to the transaction.

LandBridge said the conversion makes it potentially eligible for inclusion in various stock indices, including S&P, Russell, and CRSP indices. The company cautioned that there is no assurance it will be included in any particular index or that any expected benefits will be realized.

LandBridge owns or manages more than 350,000 surface acres across Texas and New Mexico, primarily in the Delaware sub-region of the Permian Basin.
