Nokia (NYSE: NOK) has signed a definitive agreement to sell its Enterprise Campus Edge (ECE) business to AURELIUS, a European investment firm. The transaction is expected to close in the first half of 2027, subject to regulatory approvals and other customary closing conditions.
ECE serves nearly 900 customers across industries including manufacturing, mining, logistics, airports, ports, and power generation. Its product portfolio includes private wireless networks, industrial devices, on-premises operational technology edge solutions, and software applications for industrial use cases.
Konstanty Owczarek, Chief Corporate Development Officer at Nokia, said the transaction "supports Nokia's strategy to sharpen its portfolio and direct capital and resources to the areas where it can create the greatest long-term value."
Fabian Steger, Managing Director of AURELIUS Fund IV and V, said the firm sees "significant opportunities for ECE to build on its leading position in private 5G and industrial edge as a standalone business."
Under the terms of the agreement, ECE employees are expected to transfer with the business at closing in accordance with applicable local laws. PwC Germany served as M&A and transaction services advisor to Nokia, while Roschier acted as legal advisor.
