Integra LifeSciences Holdings Corporation (NASDAQ: IART) announced the pricing of $450 million in aggregate principal of 9.500% senior secured notes due 2033, according to a press release from the Princeton, N.J.-based company.
The notes will serve as general senior secured obligations of the company, guaranteed by its wholly-owned domestic subsidiaries that are guarantors under its existing senior secured credit facilities. The sale is expected to close on or about October 19, 2026, subject to customary closing conditions.
The company intends to use the net proceeds, together with borrowings under new credit facilities, to refinance its existing credit facilities and cover related fees and expenses. The offering is part of a broader refinancing transaction.
The notes and related guarantees have not been registered under the Securities Act of 1933 and were offered only to qualified institutional buyers under Rule 144A and to certain non-U.S. persons outside the United States under Regulation S of the Securities Act.
