Atossa Therapeutics, Inc. (Nasdaq: ATOS) has executed a Stapled Contingent Value Rights Agreement with VStock Transfer, LLC as rights agent, establishing a framework that gives shareholders a contractual stake in any proceeds from a potential FDA priority review voucher (PRV).
The company's board declared a dividend of one CVR for each share of Atossa common stock outstanding as of the close of business on October 19, 2026. Shares issued after that record date and before any CVR detachment or expiration will also carry one CVR. Under the agreement, CVR holders are entitled in aggregate to 25% of net proceeds from the sale or deemed monetization of Atossa's first qualifying PRV, subject to a $50 million aggregate payment cap.
The CVRs will remain attached to Atossa common stock unless the board elects to detach them, and they will not trade separately or carry a separate CUSIP while attached. The agreement covers the first qualifying PRV awarded on or before December 31, 2036, with a board option to extend that date.
Atossa holds FDA Rare Pediatric Disease Designation for its candidate (Z)-endoxifen for Duchenne muscular dystrophy and McCune-Albright syndrome. A PRV may be awarded if the FDA approves a qualifying marketing application, though no such application has been submitted and no PRV has been granted. The company noted that Rare Pediatric Disease Designation does not itself result in a PRV award.
"If our development programs ultimately result in a qualifying priority review voucher, our shareholders will have a direct opportunity to participate in a meaningful portion of that potential value," said Steven C. Quay, M.D., Ph.D., Chairman, President and Chief Executive Officer.
The CVR Agreement does not obligate Atossa to conduct specific clinical studies, pursue regulatory approvals, or sell any PRV it may receive. The agreement will be filed with the SEC as an exhibit to a Current Report on Form 8-K.
