H.B. Fuller Company (NYSE: FUL) has priced an $850 million offering of 7.625% senior unsecured notes due 2034, at an issue price of 100% of the principal amount, in a private placement exempt from Securities Act registration requirements.
The notes are expected to close on or about October 21, 2026, subject to customary closing conditions, with interest paid on a semi-annual basis.
The St. Paul, Minnesota-based company said it intends to use the net proceeds, along with other available cash and borrowings, to fund the acquisition of Advanced Medical Solutions Group plc, repay borrowings under its existing credit agreement, and fund the repayment or redemption of its 4.000% notes due February 15, 2027.
If the acquisition is not completed by June 25, 2027, or is otherwise terminated, H.B. Fuller would be required to redeem $450 million of the notes at 100% of the initial issue price, plus accrued and unpaid interest.
The notes are being offered only to qualified institutional buyers under Rule 144A, or to non-U.S. persons under Regulation S, and have not been registered under the Securities Act.
