Sun Life Financial Inc. (NYSE: SLF) has alerted shareholders to an unsolicited mini-tender offer from Ocehan LLC to purchase up to 100,000 Sun Life common shares at a price the company says is significantly below current market levels.
According to a statement from Sun Life, Ocehan's offer represents a discount of approximately 24.97% and 24.93% to the closing prices of Sun Life shares on the Toronto Stock Exchange and the New York Stock Exchange, respectively, as of Aug. 27, 2026, the last trading day before the offer was commenced.
Sun Life stated it has no affiliation with Ocehan and does not recommend that shareholders accept the offer. Shareholders who have already tendered their shares may withdraw them within 21 days, in accordance with procedures outlined in Ocehan's offer documents.
Mini-tender offers, which seek to acquire less than 5% of a company's shares, are structured to avoid the disclosure and procedural requirements that apply to most formal bids under Canadian and U.S. securities laws. Both the U.S. Securities and Exchange Commission and the Canadian Securities Administrators have previously expressed concerns about such offers, noting that investors may tender shares without fully understanding how the offer price compares to the current market price.
Sun Life advised shareholders to review Ocehan's offer documents carefully and consult with an investment advisor before making any decisions.
