Onfolio gets Nasdaq extension to meet equity requirement
Onfolio Holdings Inc. (Nasdaq: ONFO, ONFOW) has received an extension from Nasdaq until Nov. 23, 2026, to regain compliance with the minimum stockholders' equity requirement under Nasdaq Listing Rule 5550(b), according to a press release statement.
Nasdaq notified the company on May 26, 2026, that it had failed to meet the $2.5 million minimum stockholders' equity threshold under Rule 5550(b)(1). At that time, Onfolio also did not meet either of the two alternative compliance standards related to market value of listed securities or net income from continuing operations.
In a letter dated Oct. 5, 2026, Nasdaq granted the extension following a review of the company's compliance submissions. To satisfy the terms, Onfolio must regain compliance by Nov. 23, 2026, and file a Form 8-K with the Securities and Exchange Commission and Nasdaq evidencing that compliance.
Nasdaq said it will continue to monitor the company's ongoing compliance. The company may face delisting if it fails to demonstrate compliance when filing its periodic report for the year ending Dec. 31, 2026. If Onfolio does not meet the extension's terms, Nasdaq staff will issue a written delisting notification, which the company may appeal to a Nasdaq Hearings Panel.
The extension has no immediate effect on the listing or trading of Onfolio's common stock and warrants on the Nasdaq Capital Market, and does not affect the company's business operations or SEC reporting requirements. The company noted there is no assurance it will regain or maintain compliance within the required period.
