SEALSQ Corp (NASDAQ: LAES) announced it led a $10 million private investment in public equity (PIPE) in WISeSat.Space Holdings Corp. (NASDAQ: SAIQ), with the transaction closing on October 1, 2026. Both companies are subsidiaries of WISeQey Corp. (NASDAQ/SIX: WQEY), and the investment is characterized as a related party transaction, as Carlos Moreira serves as chief executive officer of all three entities.
The purchase price was set at $10.79 per share, equal to the redemption price. The subscription agreement includes a price-protection mechanism that could result in the issuance of additional WISeSat ordinary shares to SEALSQ if the volume-weighted average price for the 10 consecutive trading days ending on the 60th calendar day after closing falls below the purchase price. Additional issuance is capped at 1,073,216 shares. SEALSQ is also subject to customary lock-up restrictions under the agreement.
According to the press release, the capital is intended to support WISeSat.Space's satellite infrastructure expansion and the integration of post-quantum cryptography security technologies into its satellites, ground, and user-segment architectures. The planned collaboration would have WISeSat.Space providing satellite capacity while SEALSQ uses that capacity to deliver quantum and post-quantum security services using its semiconductor and cryptographic technologies.
John O'Hara, CFO of SEALSQ, said the investment is aimed at extending the application of the company's secure semiconductor and cryptographic technologies into space-based communications, with a focus on creating commercial opportunities for SEALSQ shareholders.
