Live Nation Entertainment (NYSE: LYV) announced plans to offer $840.0 million and €500.0 million in aggregate principal amounts of senior notes, both due in 2032, subject to market and other conditions.

The company said it intends to use the net proceeds to fund the full redemption of its outstanding 6.500% senior secured notes due 2027, pay fees and expenses related to the offering, and for general corporate purposes, which may include repayment or repurchase of certain existing debt.

The notes and related guarantees will be offered through a private placement and will not be registered under the Securities Act of 1933. They will be available only to qualified institutional buyers under Rule 144A and, outside the United States, to non-U.S. persons under Regulation S. The notes are not intended for retail investors in the European Economic Area or the United Kingdom.

Obligations under the notes will be guaranteed by the company and its existing and future domestic restricted subsidiaries that guarantee its senior secured credit facilities. Completion of the offering remains subject to pricing and market conditions.
