Minerals Technologies Inc. (NYSE: MTX) has priced a private offering of $400 million in senior notes carrying a 7.500% interest rate, due in 2032, at an initial offering price of 100% of the principal amount.
The offering is expected to close on October 13, 2026, subject to customary closing conditions. The notes will be guaranteed by the company's wholly owned domestic restricted subsidiaries that are obligors or guarantors under its senior secured credit facilities or certain other indebtedness.
The company said it intends to use the net proceeds, together with cash on hand, to redeem all of its outstanding 5.000% senior notes due 2028 and to pay transaction fees and expenses related to the offering and a concurrent amendment and extension of its revolving credit facility.
The notes and their guarantees are being offered only to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and to non-U.S. persons outside the United States under Regulation S. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption.
Minerals Technologies, headquartered in New York, employs approximately 4,000 people across 34 countries.
