Radnostix to sell nuclear fuel assets to Nano Nuclear for $13.5M
Radnostix, Inc. (OTCQB: INIS), formerly International Isotopes Inc., has signed a definitive asset purchase agreement to sell its U.S. nuclear fuel processing assets to Nano Nuclear Energy Inc. (NASDAQ: NNE) and its subsidiary HALEU Energy Fuel Inc. for a combined $13.5 million, according to a press release dated Oct. 1, 2026.
The assets being divested include a U.S. Nuclear Regulatory Commission (NRC) 10 CFR Part 40 license, patented technology, engineering and safety analyses, regulatory and permitting materials, equipment, and historical project development records associated with depleted uranium hexafluoride (DUF6) deconversion and fluorine extraction. The license was originally issued for a proposed facility in Lea County, New Mexico, which was never constructed.
Under the terms of the agreement, Nano Nuclear will pay $9.5 million in cash and $4.0 million in Nano Nuclear common stock at closing. The transaction remains subject to NRC consent to the license transfer, approvals from New Mexico officials, satisfactory site arrangements, and other closing conditions. The parties expect closing within approximately 90 to 120 days.
Radnostix Chief Executive Officer Shahe Bagerdjian said the site, license, and technology align with Nano Nuclear's strategy to become a vertically integrated nuclear energy company. He added that the proceeds will allow Radnostix to accelerate development across its radioisotope technology product segments in medical and industrial applications.
Following the closing, Radnostix said it intends to use net proceeds to fund research and development and pursue organic and inorganic growth across its four radioisotope technology product segments, which include sodium iodide I-131 radiopharmaceuticals, contract drug manufacturing, radioisotope active pharmaceutical ingredient supply, and nuclear calibration standards sold under its RadQual brand.
