October 1, 2026 7:01 AM EDT

OpenWorld, Inc. has completed its business combination with VerifyMe, Inc. (NASDAQ: VRME), with the combined company set to trade on the Nasdaq stock exchange under the ticker symbol "OPNW" beginning October 1, 2026, according to a press release from the company.

The combined company will operate under the name OpenWorld, Inc. and focus on real-world asset tokenization, which involves converting cash flows from physical assets and operating businesses into blockchain-based financial products for institutional investors.

Matthew Shaw, who the company states has co-founded multiple technology and crypto companies and served as a director on several token projects, will lead the combined company as Chairman and Chief Executive Officer. Russ McMeekin, who spent more than a decade as a senior executive at Honeywell International, will serve as Group President.

Adam Stedham, former Chief Executive Officer of VerifyMe, said in the release: "With OpenWorld's real-world asset tokenization capabilities, we can provide our shareholders direct exposure to a business with a far larger opportunity ahead than we could have pursued independently."

OpenWorld also stated it intends to pursue a dual listing on Figure OPEN, a blockchain-based trading platform, which the company expects to be live by November 2026.

The company states it has advised on projects representing over $66 billion in aggregate network value since its founding in 2023, and has supported more than 20 companies backed by venture firms including a16z, Multicoin Capital, Dragonfly, and Founders Fund.

Maxim Group LLC served as financial advisor to OpenWorld. Latham & Watkins LLP served as counsel to OpenWorld, and Harter Secrest & Emery LLP served as counsel to VerifyMe.
