Investing.com -- Gold Fields Ltd (NYSE: GFI) is considering adding a cash component to its takeover proposal for Australia’s Northern Star Resources Ltd (ASX:NST), according to people familiar with the matter who spoke to Bloomberg, as the South African producer attempts to salvage a transaction that would create the world’s second-largest gold miner. The deliberations follow Northern Star’s rejection on Monday of an initial all-stock approach valued at A$38.7 billion ($27.1 billion), though talks remain early and Gold Fields may ultimately decide against submitting a revised offer.
A higher cash allocation could address key friction points in the initial structure while offering immediate value to Northern Star investors cautious about taking on substantial equity exposure to Gold Fields. The strategic push comes against a volatile backdrop for bullion, which has fallen roughly 25% from its January high, creating wide valuation gaps and operational headwinds across the sector.
If completed, the combination would generate an estimated 4.1 million ounces of annual output, with more than half sourced from an expanded footprint in Western Australia. Gold Fields management highlighted that integrating the overlapping regional operations could yield as much as $5 billion in operational synergies.
Market reaction underscored investor sensitivity to the deal's structure and execution risk. Shares of Gold Fields dropped 12% in Johannesburg following the rejection news before rebounding 4% on Tuesday as market participants digested the potential for a revised structure.
