Warner Bros. Discovery plans to delist Euro notes from Nasdaq Global

September 28, 2026 6:02 AM EDT

Warner Bros. Discovery, Inc. (NASDAQ: WBD) announced plans to voluntarily delist two senior notes from the Nasdaq Global Market, citing a pending acquisition by Paramount Skydance Corporation ("PSKY").

The notes set for delisting are the 4.302% Senior Notes due 2030 and the 4.693% Senior Notes due 2033, both issued by Discovery Global Holdings, Inc., a wholly owned subsidiary of WBD, and fully guaranteed by WBD and certain of its subsidiaries. The company also intends to deregister the notes under the Securities Exchange Act of 1934.

WBD expects to file a Notification of Removal From Listing on Form 25 with the U.S. Securities and Exchange Commission on or around October 6, 2026. The delisting would become effective 10 days after that filing. WBD said it reserves the right to delay the filing for any reason.

Following the Form 25 filing, WBD expects to submit a Form 15 to the SEC to deregister the notes and suspend its reporting obligations under Sections 13 and 15(d) of the Exchange Act.

According to the announcement, the delisting and deregistration will not affect the terms of the notes. Neither WBD nor PSKY has made arrangements to list or register the notes on another national securities exchange or quotation medium.
