Generation Income Properties, Inc. (Nasdaq: GIPR) announced it has fully repaid approximately $4.2 million in preferred stock obligations to Loci Capital, removing the liability from its balance sheet.
The Tampa, Florida-based real estate investment trust raised the capital needed to retire the Loci preferred investment through a warrant exercise transaction disclosed in a Form 8-K filed on September 21, 2026. The company said the redemption simplifies its capital structure and eliminates what it described as one of its most significant balance sheet liabilities.
Chief Executive Officer David Sobelman said in a letter to shareholders that the Loci obligation had been a recurring topic in discussions with investors, lenders, and prospective transaction partners. The company stated that portfolio occupancy and rent collections have remained at 100%.
The company noted it still faces a Nasdaq compliance requirement to maintain a closing bid price of at least $1.00 per share for a required period. GIPR said it is pursuing compliance through market performance and that a reverse stock split remains an option but is not its preferred approach.
According to the shareholder letter, GIPR continues to evaluate potential property acquisitions, strategic combinations, and other transactions. The company also cited a longer-term goal of reinstating a dividend, though no timeline was provided.
