Assured Guaranty Inc. (NYSE: AGO) has entered into a restructuring support agreement with other Brightline Florida financial stakeholders following Chapter 11 bankruptcy filings by certain Brightline Florida Holdings LLC entities, according to a company statement.
Brightline Trains Florida LLC, the operating company and obligor on tax-exempt senior bonds insured by Assured Guaranty, did not file for Chapter 11 protection. The bankruptcy filings of other affiliated entities do not alter payment obligations on those insured bonds, the company said.
Under the restructuring agreement, which requires bankruptcy court approval, $490 million in new capital will be provided to the operating company upon exit from bankruptcy. That total consists of $350 million in new junior debt and $140 million in additional senior debt, the latter ranking equally with existing senior debt. Assured Guaranty has committed to provide $70 million of that additional senior debt.
During the bankruptcy process, Assured Guaranty has agreed to provide up to $178 million of a total $258 million in post-petition funding, also ranking equally with existing senior debt. That funding is to be repaid when the Brightline Florida entities exit bankruptcy.
Separately, certain bondholders have agreed to a limited deferral of scheduled interest payments on insured and uninsured senior bonds in exchange for a fee from the operating company. Assured Guaranty said it will guarantee timely payment of deferred interest for bondholders who elect to defer, and will continue to guarantee interest as originally scheduled for those who do not.
Assured Guaranty insures slightly over 50% of the operating company's existing senior tax-exempt bonds, giving it majority debt voting rights and corresponding control rights in the restructuring.
Rating agencies S&P Global Ratings, KBRA, and Moody's all affirmed Assured Guaranty's financial strength ratings with stable outlooks in July and August 2026.
