SharonAI Holdings Inc. (NASDAQ: SHAZ) has dismissed HoganTaylor LLP as its independent registered public accounting firm and engaged Ernst & Young as its replacement, according to a company statement.
The Audit Committee of the company's Board of Directors approved the dismissal of HoganTaylor on September 20, 2026, with Ernst & Young's engagement effective September 23, 2026. Ernst & Young will serve as the company's independent auditor for the fiscal year 2026 audit, including the upcoming 10-Q and 10-K filings.
HoganTaylor's audit reports on the company's consolidated financial statements for the years ended December 31, 2025 and 2024 contained no adverse opinions, disclaimers, or qualifications related to uncertainty, audit scope, or accounting principles.
The company disclosed that from January 6, 2026 through September 20, 2026, there were no disagreements between the company and HoganTaylor on accounting principles, financial statement disclosure, or auditing procedures. The company noted one reportable event: a material weakness identified by HoganTaylor and disclosed in the company's Annual Report on Form 10-K filed on March 31, 2026.
The Audit Committee conducted a review of the company's current and future needs before running a competitive process involving multiple firms, ultimately selecting Ernst & Young unanimously.
