Ainos signs VELDONA license deal with BioPhoenix worth up to $10M

September 24, 2026 8:02 AM EDT

Ainos, Inc. (NASDAQ: AIMD, NASDAQ: AIMDW) has entered into a license agreement with BioPhoenix Co., Ltd. for its VELDONA platform, establishing a collaboration framework with a potential aggregate value of $10 million, according to a company statement.

Under the agreement, BioPhoenix receives an exclusive worldwide license to VELDONA for two initial indications — Sjögren's disease and thrombocytopenia — covering research, development, manufacturing, regulatory activities and commercialization. The $10 million framework includes an initial license fee, conditional consideration for licenses covering 15 additional indications, and a one-time fee triggered by BioPhoenix's first sublicense to a third party.

The company noted that the $10 million figure is conditional and does not represent guaranteed revenue. Neither party is obligated to complete all 15 additional indication licenses.

BioPhoenix will assume primary funding and execution responsibilities for clinical and regulatory development activities, including clinical studies, CRO services, regulatory submissions and related costs. Ainos retains ownership of the VELDONA platform and background intellectual property, and is entitled to a 25% share of applicable net sublicensing revenue generated by BioPhoenix, separate from license fees and product supply revenue.

Potential additional indications under consideration include Behçet's disease, chronic fatigue syndrome, fibromyalgia, hepatitis B, hepatitis C, idiopathic pulmonary fibrosis and influenza, among others.

The parties intend to seek marketing authorizations from the U.S. Food and Drug Administration and the Taiwan Food and Drug Administration under the agreed development plan.

VELDONA is a low-dose oral interferon alpha platform administered as a lozenge. Ainos has previously disclosed a development history spanning 68 studies across 16 disease indications, with nearly 6,000 total participants.

Eddy Tsai, Chairman, President and Chief Executive Officer of Ainos, said the agreement's "strategic value extends beyond the contemplated license consideration by combining partner-funded development with Ainos' continued ownership of the platform and participation in its future commercial value."
