Brightline Interactive raises $1.25M in PIPE led by drone executive

September 24, 2026 7:31 AM EDT

Brightline Interactive, Inc. (Nasdaq: BTLN) announced it has entered into a private investment in public equity (PIPE) agreement for gross proceeds of $1.25 million, led by Dr. Allan Evans, chief executive officer of Unusual Machines, Inc., along with other participating investors.

The financing consists of units of common stock and warrants to purchase common stock, priced at $0.70 per unit. The warrants carry 100% coverage at an exercise price of $2.00 per share. The transaction was anticipated to close on September 25, 2026, subject to customary closing conditions.

Dr. Evans's participation is made in his personal capacity and does not represent a corporate transaction between Brightline and Unusual Machines. He has served as CEO of Unusual Machines since December 2023 and previously served as chief operating officer of Red Cat Holdings.

The company stated that net proceeds are intended to support continued development of SpatialCore, its interoperability platform for Physical AI, and to expand into new markets.

The warrants include a call option allowing Brightline to redeem outstanding warrants if the volume-weighted average price of its common stock on the Nasdaq Capital Market exceeds $3.00 for five consecutive trading days.

The warrant exercise price and call price are subject to adjustment for a previously announced 8-for-1 stock split effective September 28, 2026. Following the split, the warrant exercise price will be $16.00 per post-split share and the call price will be $24.00.
