Better Home & Finance board disputes former CEO's shareholder consent claims

September 23, 2026 8:31 AM EDT

Better Home & Finance Holding Company (NASDAQ: BETR) issued a statement through its Special Committee of the Board of Directors disputing claims made by former CEO Vishal Garg regarding shareholder support for his consent solicitation campaign.

The Special Committee said Garg has not obtained consents representing anywhere near the 46% of the company's voting power he claims to have secured. The committee said most of the claimed support comes from Garg's own super-voting shares and those of a small number of allies, with minimal support from public investors.

The board noted that Garg previously claimed to have more than 50% of the vote, a claim the committee described as false. The committee also said Garg has missed multiple self-imposed deadlines to deliver the required written consents.

Regarding Garg's allegation that the board withheld shareholder information, the Special Committee said the company provided his legal counsel with three separate share ownership lists. The committee said it is its understanding that Garg's own counsel did not share those lists with him or his proxy solicitor.

The company filed a definitive consent revocation statement with the U.S. Securities and Exchange Commission on August 28, 2026. The Special Committee is urging shareholders to sign and return the white consent revocation card and disregard any green consent card received from Garg.
