Voyager Technologies, Inc. (NYSE: VOYG), a defense and space technology company based in Denver, announced plans to offer $350.0 million in convertible senior notes due 2032 in a private placement to qualified institutional buyers under Rule 144A of the Securities Act of 1933.
The company also expects to grant initial purchasers an option to buy up to an additional $52.5 million in notes, exercisable within 13 calendar days of the initial issuance date.
The notes will be senior, unsecured obligations maturing on October 15, 2032, with interest paid semi-annually. Voyager may settle conversions in cash, Class A common stock, or a combination of both, at its discretion. The notes become redeemable for cash at Voyager's option on or after October 21, 2030, subject to the stock price exceeding 130% of the conversion price for a specified period.
Voyager said it intends to use a portion of the net proceeds to fund capped call transactions designed to reduce potential dilution to holders of its Class A common stock upon note conversion. The cap price on the capped call transactions is expected to reflect at least a 150% premium to the last reported sale price of Voyager's Class A common stock at the time of pricing. The remainder of proceeds will be directed toward general corporate purposes, including organic growth and strategic acquisitions.
The interest rate, initial conversion rate, and other terms will be set at the time of pricing. The notes and any shares issuable upon conversion have not been registered under the Securities Act and may not be offered or sold absent an applicable exemption.
