Garg Group claims 46% shareholder backing in Better board fight

September 22, 2026 9:58 AM EDT

Vishal Garg, founder and former CEO of Better Home & Finance Corporation (NASDAQ: BETR), said his group has secured consents from holders of more than 46% of the company's voting power in a consent solicitation effort to remove five sitting directors from the board.

Garg, who remains a board member and significant shareholder, is seeking to remove interim CEO Daniel Lewis, Harit Talwar, Arnaud Massenet, Bhaskar Menon, and Prabhu Narasimhan. He said the preliminary tally was reached within two weeks of consent cards being distributed to shareholders.

In a statement, Garg accused the board of withholding the shareholder list, which he said has prevented the Garg Group from communicating directly with investors. He also disputed claims posted by the company on social media platform X, in which Better implied the group may be violating securities regulations. Garg called those characterizations "false" and "baseless."

Better has not publicly responded to the specific allegations made in this statement. The company's share price has fallen approximately 55% since Garg departed as CEO and Lewis assumed the interim role, according to Garg, calculated from August 3 through September 21, 2026.

Garg identified Bing Gordon, David Heidecorn, and Steve Sarracino as potential director nominees if the solicitation succeeds. The press release notes that no formal agreements have been reached with these candidates, and their appointments would require approval from a majority of board members at the time of nomination.

Proxy advisory firm Egan-Jones is cited as among voices supporting the consent solicitation effort, according to the statement.

The reported voting support reflects a preliminary tabulation that has not been verified by an independent inspector and may change prior to formal delivery of consents.
