AMC Entertainment Holdings (NYSE: AMC) has launched a cash tender offer to purchase all of its outstanding 7.500% Senior Secured Notes due 2029, with approximately $359.96 million in principal amount outstanding, according to a company press release dated September 21, 2026.
The company is offering $1,009.70 per $1,000 in principal amount of the notes, plus accrued and unpaid interest. The tender offer is set to expire at 5:00 p.m. New York City time on September 30, 2026, unless extended or terminated earlier. Settlement is expected on October 5, 2026.
The tender offer is contingent on AMC completing one or more debt financing transactions, including a new private offering of first lien notes under Rule 144A and Regulation S, generating at least $3.97 billion in aggregate gross proceeds. The offer is not conditioned on a minimum amount of notes being tendered.
AMC stated it intends, but is not obligated, to redeem any notes not tendered in the offer on or about February 15, 2027, at 100% of principal plus accrued interest. The company also plans to satisfy and discharge its remaining obligations under the notes by depositing cash or U.S. government securities with the trustee, CSC Delaware Trust Company, on the settlement date.
Wells Fargo Securities and Deutsche Bank Securities are serving as dealer managers for the offer. D.F. King & Co. is acting as tender agent and information agent.
