Better Home & Finance extends deadline in board removal consent fight

September 18, 2026 8:31 AM EDT

Better Home & Finance Holding Company (NASDAQ: BETR) said its Special Committee of the Board of Directors is calling on former CEO Vishal Garg to end his consent solicitation campaign after he extended his deadline for delivering shareholder consents to October 2.

According to a statement from the Special Committee, Mr. Garg has now missed multiple self-imposed deadlines. He initially claimed to have majority shareholder support, then set a September 8 deadline to deliver written consents, extended that to September 18, and has now pushed the date to October 2. The consents, if valid and sufficient, would remove a majority of Better's current board members.

The Special Committee said Mr. Garg has failed to demonstrate support from public shareholders beyond a small number of longtime allies, and has not delivered consents representing the 50.1% voting threshold he previously claimed to hold. Mr. Garg holds super-voting stock, which the committee noted gave him a significant head start in the solicitation process.

Two independent proxy advisory firms, Institutional Shareholder Services and Glass Lewis & Co., both recommended that shareholders support the current board, according to the statement.

Better's board removed Mr. Garg as CEO and has since appointed an interim chief executive. The company said its Special Committee and new leadership team are continuing a search for a permanent CEO.

The Special Committee is urging shareholders to sign and return a white consent revocation card and to disregard any green consent card associated with Mr. Garg's campaign. Shareholders who previously submitted a green consent card may revoke it by returning the white card.

Better filed a definitive consent revocation statement with the U.S. Securities and Exchange Commission on August 28, 2026. This article is based on a press release issued by Better Home & Finance Holding Company.
