Clean Harbors, Inc. (NYSE: CLH) has priced a private offering of $600 million in senior notes due 2034, carrying an interest rate of 6.250% and priced at 100% of their aggregate principal amount, according to a company statement.
The issuance is expected to close on or about October 1, 2026, subject to customary closing conditions.
The company said it intends to use the net proceeds to finance its previously announced acquisition of EnviroServe, a national provider of environmental and waste management services. Any remaining proceeds will be used to repay borrowings under its revolving credit facility that were drawn to partially fund its previously announced acquisition of ES&H.
The company noted that the offering is not contingent on the completion of either acquisition. If either deal does not close, Clean Harbors said it intends to apply remaining proceeds toward general corporate purposes.
The notes will be offered to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and outside the United States under Regulation S. The notes will not be registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption.
