Nomad Power Solutions files SEC disclosure after merger completion
Nomad Power Solutions (Nasdaq: NMAD), formerly Lixte Biotechnology Holdings, filed an amended Current Report on Form 8-K with the U.S. Securities and Exchange Commission providing expanded business and financial information following the completion of its July 2026 merger with Nomad Transportable Power Systems, Inc.
The filing includes audited historical financial statements through December 31, 2025 and December 31, 2024, financial statements as of June 30, 2026, and pro forma combined condensed financial statements for Nomad Power Solutions.
Key financial figures disclosed in the filing show revenue rose to $9.4 million in 2025, up from $2.3 million in 2024. Deferred revenue stood at $8.2 million as of December 31, 2025. Following the merger, Nomad Transportable Power Systems received $16.5 million in cash, a portion of which was used to repay outstanding bank debt and other legacy financing obligations. The company also reported a $9.5 million U.S. Department of Energy award to support energy storage systems across five communities in rural Vermont.
The company markets its Voyager platform, which consists of containerized, transportable power and energy-storage systems the company says can be connected and placed into operation in under one hour without permanent grid infrastructure.
Nomad reported that a peak-shaving installation for DSO Electric Cooperative generated more than $150,000 in seasonal savings and transitioned from a pilot program to an equipment purchase. A separate system supported customer operations during a six-hour planned utility outage in Vermont.
The company's customer and partner relationships include a California investor-owned utility, the U.S. Department of Energy, the Electric Power Research Institute, Missanabie Cree First Nation, Today's Power, and SparkCharge.
"With the merger completed and additional capital in place, we believe Nomad is well-positioned to expand commercial deployment of our transportable power platform," said Geordan Pursglove, Chief Executive Officer of Nomad Power Solutions.
