Clean Harbors, Inc. (NYSE: CLH) announced it is commencing a private offering of $600 million in senior notes, expected to mature in 2034.
According to a press release, the Norwell, Mass.-based company plans to use the net proceeds to finance its previously announced acquisition of EnviroServe, a national provider of environmental and waste management services. Any remaining proceeds will be used to repay borrowings under its revolving credit facility, which were drawn to partially fund its previously announced acquisition of ES&H.
The company noted that the completion of the notes offering is not contingent on the closing of either acquisition. If one or both acquisitions are not completed, Clean Harbors said it intends to use the remaining net proceeds for general corporate purposes.
The notes will be offered to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and outside the United States under Regulation S. The notes will not be registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption.
