CoreWeave’s tug-of-war: Record pricing power battles a $3B debt cloud

September 17, 2026 7:50 AM EDT

Investing.com -- CoreWeave (CRWV) shares edged up just 1% on Thursday, caught in a direct clash between red-hot AI compute demand and the heavy gravitational pull of looming dilution.

CoreWeave proved exactly how starved the AI market is for capacity. The company revealed it secured short-term Q3 contracts at a staggering $40 million per megawatt in annualized revenue. On top of that premium pricing, CoreWeave racked up over $25 billion in net new customer commitments early in Q3 and expanded its total contracted power footprint to 4.2 gigawatts.

Securing that much power is capital-intensive, and the sheer size of CoreWeave’s funding plans capped its stock rally. The company announced a $3 billion convertible senior note offering due 2033 (with an option for an additional $500 million). Compounding the dilution fears, CoreWeave filed an agreement to potentially sell up to 35 million common shares down the road. While they are using part of the cash for capped call transactions to hedge the immediate dilution risk, the massive debt load gave investors pause.

While CoreWeave fought its own debt overhang, sector peer Nebius Group (NBIS) reaped the pure reward of the news. Nebius shares surged 9% as the market extrapolated CoreWeave’s $40M/MW pricing signal across the broader AI infrastructure sector. Because Nebius already closed its own convertible debt raise in August, its stock was able to ride the pricing tailwind completely unburdened by fresh dilution fears.
