CoreWeave, Inc. (NASDAQ: CRWV) has established an at-the-market equity offering program allowing the company to sell up to 35,000,000 shares of its Class A common stock, according to a prospectus supplement dated September 17, 2026.
The offering is governed by an Equity Distribution Agreement signed with 11 financial institutions acting as sales agents, including Deutsche Bank Securities, Goldman Sachs & Co., J.P. Morgan Securities, Morgan Stanley, Jefferies, Citigroup Global Markets, and Wells Fargo Securities, among others. Shares will be sold at prevailing market prices, with each sales agent receiving a commission of up to 2.0% of the sales price of shares sold through them.
In addition to direct share sales, the agreement allows CoreWeave to enter into collared forward sale agreements with designated forward purchasers, including Deutsche Bank AG London Branch, Goldman Sachs Bank USA, Morgan Stanley & Co., and Citibank. Under these arrangements, forward sellers would borrow and sell shares during a hedge selling period, with commissions not to exceed 2.0% of the volume weighted average price per share. CoreWeave would not receive proceeds from forward seller share sales immediately, but expects to receive proceeds upon settlement of the forward agreements.
The Class A common stock carries a par value of $0.000005 per share. The offering is registered under Registration No. 333-296553 and supplements a base prospectus dated June 5, 2026.
