Lion Copper Corp. completes share consolidation and name change

Lion Copper Corp. (CSE: LCU) (OTCQB: LCGMD), formerly Lion Copper and Gold Corp., announced the completion of its name change and a share consolidation, effective September 14, 2026.

The consolidation was carried out on the basis of 27 pre-consolidation common shares for one post-consolidation common share, resulting in approximately 15,975,396 common shares issued and outstanding, subject to final rounding adjustments. The company's shares began trading on the Canadian Securities Exchange under the new name and ticker symbol "LCU" at market open on that date. The OTCQB trading symbol changed from "LCGMF" to "LCGMD." The company's new CUSIP number is 53621C101 and its new ISIN number is CA53621C1014.

The share consolidation was undertaken in connection with the company's application to list its common shares on the Nasdaq Capital Market, intended to help satisfy Nasdaq's initial listing requirements, including the minimum bid price requirement. The company noted that its Nasdaq listing application remains subject to Nasdaq review and that there is no assurance the application will be approved.

The exercise or conversion price and the number of common shares issuable under outstanding convertible securities have been proportionately adjusted to reflect the consolidation. No fractional shares were issued; entitlements of 0.5 or greater were rounded up and those below 0.5 were rounded down, with no cash paid for fractional shares.

Registered shareholders holding physical share certificates will receive a letter of transmittal from Computershare Trust Company of Canada with exchange instructions. No action is required from shareholders holding shares in book-entry form or through a broker or other intermediary.

Lion Copper Corp. is advancing its Yerington Copper Project in Nevada through an earn-in agreement with Nuton LLC, a Rio Tinto venture.
