Natuzzi appeals NYSE delisting, converts €5M in loans to equity
Natuzzi S.p.A. (NYSE: NTZ) has filed a request for review of the New York Stock Exchange's determination to delist its American Depositary Shares, according to a company statement.
The NYSE notified Natuzzi on August 26, 2026, that it had determined to commence delisting proceedings after the Italian furniture company failed to maintain an average global market capitalization of at least $15 million over a consecutive 30 trading-day period, as required under Section 802.01B of the NYSE Listed Company Manual.
On September 10, 2026, Natuzzi submitted a formal request for review of the NYSE's determination to a committee of the NYSE Board of Directors, under Section 804.00 of the NYSE Listed Company Manual. The review is scheduled to take place no sooner than 25 business days from the date the request was filed.
Separately, on September 9, 2026, Natuzzi's controlling shareholder, INVEST 2003 S.r.l., agreed to reclassify an additional €5 million in shareholder loans previously extended to the company as an advance payment toward a future capital increase. The amount is expected to be recorded as an equity reserve on the company's balance sheet as of September 30, 2026.
Natuzzi, founded in 1959 and listed on the NYSE since 1993, is based in Santeramo in Colle, Italy, and distributes furniture through 552 monobrand stores worldwide as of March 31, 2026.
