Weatherford, NCS Multistage set merger election deadline for Aug. 31

Weatherford International plc (NASDAQ: WFRD) and NCS Multistage Holdings, Inc. (NASDAQ: NCSM) announced that NCS Multistage stockholders have until 5:00 p.m. Eastern Time on Aug. 31, 2026, to elect the form of merger consideration they wish to receive upon closing of the transaction.
Under the merger agreement terms, NCS Multistage stockholders may elect to receive either 0.554 Weatherford ordinary shares, or a combination of 0.239 Weatherford ordinary shares and a cash amount equal to 0.137 Weatherford ordinary shares, subject to proration and certain limitations and adjustments.
Stockholders who elect the all-share option or who do not submit a valid election before the deadline will be deemed to have chosen the share consideration, which is not subject to proration or adjustments.
The transaction has been approved by the boards of directors of both companies and by NCS Multistage's controlling stockholder, which holds more than 50% of NCS Multistage's outstanding common stock. The deal is expected to close on or about Sept. 1, 2026, subject to customary closing conditions. If closing does not occur by that date, the election deadline may be extended, and both companies said they would announce any such extension.
The two companies will continue to operate independently until the transaction closes, according to a joint statement based on the press release.
