Charter closes Cox Communications deal and Liberty Broadband merger

Charter Communications (NASDAQ: CHTR) has completed its acquisition of Cox Communications and its merger with Liberty Broadband Corporation, the company announced Aug. 20, 2026.

Under the Cox transaction, a subsidiary of Cox Enterprises received approximately 33.6 million common units in Charter Holdings valued at roughly $5 billion, $6 billion of convertible preferred units carrying a 6.875% coupon, and approximately $4 billion in cash. In total, Charter issued the equivalent of just over 46 million shares to Cox Enterprises, which now holds approximately 26% of the combined entity's fully diluted shares outstanding. About $12 billion of Cox debt and finance leases will remain at Charter subsidiaries.

In the Liberty Broadband merger, each holder of Liberty Broadband common stock received 0.236 of a Charter share per share held. Charter retired approximately 38.6 million shares previously held by Liberty Broadband and issued roughly 33.9 million new shares, resulting in a net decrease of about 4.7 million Charter shares outstanding. Charter also assumed approximately $840 million of Liberty Broadband net debt and $180 million of preferred equity.

Alex Taylor, Chairman and CEO of Cox Enterprises, has been appointed Chairman of Charter's board. Eric Zinterhofer becomes lead independent director. Chris Winfrey continues as President and CEO. Cox Enterprises also appointed Dallas Clement and Mark Greatrex to Charter's 13-member board.

Within one year, Charter plans to rename its parent company Cox Communications while continuing to operate under the Spectrum brand across all markets. The company will remain headquartered in Stamford, Connecticut, with a significant presence in Atlanta, Georgia.

Spectrum plans to launch its full product suite in former Cox markets in mid-September. Beginning immediately, Cox internet customers are being offered a free year of Spectrum mobile service.
