Intel prices upsized $20B stock offering at $95 per share

Intel Corporation (NASDAQ: INTC) has priced a public offering of 210,526,315 shares of common stock at $95 per share, according to a press release from the company.



The offering was upsized to $20 billion from a previously announced $15 billion. Intel has granted underwriters a 30-day option to purchase up to an additional 31,578,947 shares at the same offering price, less underwriting discounts.



The offering is expected to close on August 12, 2026, subject to customary closing conditions. Net proceeds are expected to total approximately $19.7 billion, assuming underwriters do not exercise their option to purchase additional shares, after deducting underwriting discounts, commissions, and estimated offering expenses.



Intel stated it intends to use the proceeds for general corporate purposes, which may include capital expenditures and working capital.



J.P. Morgan, Goldman Sachs, Morgan Stanley, and Citigroup are serving as joint book-running managers. Barclays, BofA Securities, BNP Paribas, Credit Agricole CIB, Deutsche Bank Securities, Mizuho, RBC Capital Markets, TD Securities, Wells Fargo Securities, and Cantor are also acting as book-running managers.
