Voya Financial warns shareholders of misleading TOMS Capital proxy filing

Voya Financial, Inc. (NYSE: VOYA) has issued an advisory to its shareholders warning them about materials published by TOMS Capital Investment Management LP and affiliates, which the company says describe a fictitious shareholder meeting in a manner that could confuse and deceive investors.
According to a statement from Voya, the materials from TOMS Capital, also referred to as TCIM, contain inaccurate and misleading statements and reproduce media reports that Voya says include false information about the company.
Voya clarified that there is no upcoming shareholder meeting and that no matters are currently pending for shareholder vote. The company held its most recent annual shareholder meeting in May 2026, with voting results filed in a Current Report on Form 8-K with the SEC on May 21, 2026.
Voya said it considers TCIM's actions to be manipulative and deceptive, and stated it is seeking regulatory intervention to protect shareholders and limit any adverse effects on its employees and customers.
