Lisata Therapeutics, Inc. (Nasdaq: LSTA) has filed suit in the Delaware Court of Chancery against Kuva Labs Inc. and its subsidiary Kuva Acquisition Corp. following the termination of a merger agreement signed March 6, 2026.
The clinical-stage pharmaceutical company is seeking damages for the benefit of its stockholders, including a $2,000,000 termination fee it claims is owed under the Agreement and Plan of Merger, alleging Kuva breached the terms of the deal.
Following the merger's collapse, Lisata has eliminated approximately 72% of its full-time employees, including its Executive Vice President of R&D and Chief Medical Officer position. The company said some separated employees may be retained as external consultants on a temporary basis.
Lisata's board of directors is evaluating strategic alternatives, which may include an acquisition, merger, reverse merger, other business combination, asset sale, liquidation, or dissolution. The company said it has not set a timetable for completing the review and does not plan to provide further updates unless a definitive course of action is approved or additional disclosure is required.
