Wallbox files to resell up to 13.9 million Class A shares

Wallbox N.V. (NYSE: WBX), a Dutch electric vehicle charging company, has filed a prospectus covering the offer and sale of up to 13,901,377 Class A ordinary shares with a nominal value of €2.40 per share by selling securityholders.

According to the filing, the shares consist of two components. The first is 10,369,681 Class A shares issued to selling securityholders through private placement offerings that closed on multiple dates, including February 21, 2025, June 2, 2025, June 17, 2025, June 30, 2026, and July 1, 2026. The second is 3,531,696 shares issuable upon the exercise of warrants, including 3,301,758 warrants tied to a June 2026 private placement and 229,938 warrants issued to Generac Power Systems, Inc. under a 2025 warrant agreement.

Separately, Wallbox is offering up to 152,286 additional Class A shares under a settlement agreement in lieu of a cash payment. The price for those shares will be calculated using the volume-weighted average price of the Class A shares over five consecutive trading days following the effective date of the registration statement, subject to a minimum issue price equal to the U.S. dollar equivalent of the €2.40 nominal value per share.
