Regenxbio plans $100M common stock public offering

Regenxbio Inc. (Nasdaq: RGNX) announced plans to sell $100 million of its common stock in an underwritten public offering, according to a press release from the Rockville, Md.-based biotechnology company.
The offering is subject to market conditions, and the company said there is no assurance as to whether or when the offering may be completed, or the actual size or terms. Regenxbio also intends to grant underwriters a 30-day option to purchase up to 15% additional shares beyond those sold in the offering.
Morgan Stanley, J.P. Morgan, Leerink Partners, and Mizuho are serving as joint book-running managers for the offering.
The securities are being offered under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on November 26, 2025, and declared effective on December 12, 2025.
