PMGC Holdings unit licenses FSU drone payload patent for defense use
PMGC Holdings Inc. (Nasdaq: ELAB) subsidiary NorthStrive Defense Tech LLC has executed a definitive exclusive license agreement with the Florida State University Research Foundation for a patented multi-domain drone payload technology, according to a press release.
The agreement grants NorthStrive Defense Tech an exclusive, worldwide, sublicensable license within the aerospace and defense field covering U.S. Patent No. 12,291,334 and associated know-how, including software, methods, data, and algorithms related to the control and navigation of the technology.
The licensed patent covers a drone system designed to transport cable-suspended payloads across both air and water environments, using buoyancy-assisted transport while the aerial vehicle maintains flight above the water surface.
The license term runs for the life of the patent and becomes perpetual and fully paid-up following expiration of the applicable royalty term. Financial terms include customary license fees, annual maintenance fees, earned royalties on net sales, minimum annual royalties, and sublicensing revenue payments.
Under the agreement, NorthStrive Defense Tech is required to pursue commercially reasonable development efforts under a multi-year plan. Obligations include completing a working prototype, submitting applications for non-dilutive funding, achieving a first commercial sale, establishing manufacturing capability, and reaching cumulative net sales milestones.
The license agreement follows an exclusive option agreement announced April 6, 2026, and a binding term sheet announced June 8, 2026. A sponsored research agreement with the Florida State University Research Foundation, previously disclosed, remains ongoing and is intended to advance the technology toward a working prototype.
NorthStrive Defense Tech disclosed the license agreement in a Current Report on Form 8-K filed with the Securities and Exchange Commission on July 7, 2026. The company stated it cannot provide assurances on the commercial success of the technology.
