Lifeward raises $5.6M in convertible notes with $5.6M more tied to milestones

Lifeward Ltd. (Nasdaq: LFWD) closed an initial $5.6 million in senior secured convertible notes and accompanying warrants on July 6, 2026, as part of a financing agreement with a group of institutional and accredited investors.

The deal includes a commitment from investors to provide an additional $5.6 million upon the achievement of one of two defined milestones: a 150% increase in ReWalk unit sales over the trailing twelve-month period, or Lifeward's ordinary shares trading at or above $13.80 per share for ten consecutive trading days.

The financing was structured through a securities purchase agreement connected to a broader capital framework established with Oramed Pharmaceuticals (Nasdaq: ORMP). That partnership provides Lifeward with access to up to $47 million in total financing, of which $10 million has been funded to date.

"This financing reflects confidence in our strategy and the opportunity ahead," said Mark Grant, President and Chief Executive Officer of Lifeward. "This additional capital strengthens our ability to accelerate the commercialization of our restorative healthcare platform, including expansion of our reimbursement-backed distribution model, and advancement of our product portfolio."

Lifeward, headquartered in Hudson, Massachusetts and Yokneam Illit, Israel, develops neurorehabilitation products including the ReWalk Exoskeleton and AlterG Anti-Gravity system.
