Coursera plans layoffs after Udemy merger, estimates $8M-$11M in costs

Coursera Inc. (NYSE: COUR) announced a workforce reduction plan on July 6, 2026, following its merger with Udemy, Inc., which was completed on May 11, 2026.

The merger was carried out under an Agreement and Plan of Merger dated December 17, 2025, through which Udemy became a wholly owned subsidiary of Coursera via a merger with Chess Merger Sub, Inc., a Coursera subsidiary.

The company said the workforce reduction is intended to align its cost structure, operating model, and personnel needs with its business objectives following the merger. Coursera estimates it will incur between $8 million and $11 million in expenses related to the plan, consisting primarily of severance payments and healthcare benefits for affected employees.

The company expects substantially all of these charges to be cash expenditures incurred during the third and fourth quarters of 2026. Stock-based compensation expenses tied to the plan are not expected to be material.

Coursera noted that potential position eliminations are subject to local law and consultation requirements, which may extend the process beyond 2026 in certain jurisdictions. The company added that actual expenses may differ materially from current estimates.

The company also disclosed that it is pursuing broader operational efficiency and synergy initiatives related to the merger that may result in additional costs and benefits beyond those associated with the current workforce reduction plan. Further disclosures on those initiatives are expected in future periodic reports.
